William Stancil Starnes
Chairman, Chief Executive Officer and President
W. STANCIL STARNES, J.D., is the Chairman, Chief Executive Officer and President of ProAssurance Corporation. Mr. Starnes, who assumed this position at ProAssurance on July 2, 2007, was first associated with Medical Assurance, the predecessor of ProAssurance, in 1979 when he began defending insured physicians on behalf of the company. In the ensuing years he became ProAssurance’s lead outside defense counsel and was a vital outside voice in many key decisions that shaped the Company. He was one of the architects of ProAssurance’s policy of passionately defending non-meritorious lawsuits. Mr. Starnes was the founder (in 1975) and ultimately the senior and managing partner of the law firm of Starnes & Atchison. His primary work was in the field of medical liability defense, but his 34-year history of courtroom advocacy included successful representation of local and nationwide clients in a wide range of civil trials, appeals and litigation. In October, 2006 Mr. Starnes assumed the position of President, Corporate Planning and Administration with Brasfield & Gorrie, LLC, one of the nations' leading commercial contractors. He is a member American Bar Association as well as the Bar Associations of Alabama and Birmingham. He is a Fellow in the American College of Trial Lawyers, an Advocate in the American Board of Trial Advocacy and a Life Fellow of the Alabama Bar Foundation. He graduated from the University of Alabama and is a summa cum laude graduate of The Cumberland School of Law in Birmingham.
Michael Leonard Boguski
President, Eastern Insurance
Michael L. Boguski has been with the Eastern organization since the inception of the workers’ compensation insurance operation in 1997. He has served on the Board of Directors of the operating subsidiaries since 2001, was elected to EIHI's Board of Directors in November of 2010, and has served as the Chairman of the Board at Eastern Re Ltd., SPC since March of 2011. Mr. Boguski was promoted to the President and Chief Executive Officer position on January 1, 2011. He has 26 years of industry experience, including serving as Underwriting Manager at Aetna Property & Casualty Company and as Alternative Markets Underwriting Manager at the PMA Group.
Howard Harley Friedman
President, Healthcare Professional Liability Group; Chief Underwriting Officer and Chief Actuary
HOWARD H. FRIEDMAN, ACAS, MAAA, is the President of the Healthcare Professional Liability Group and serves as the Chief Underwriting Officer and Chief Actuary of ProAssurance. Mr. Friedman joined one of the predecessor companies of ProAssurance, Medical Assurance, in 1996, and earlier responsibilities included serving as ProAssurance's chief financial officer from its inception in 2001 through March of 2005 and managing the company’s information systems and compliance functions, merger and acquisition analysis, and strategic planning. Prior to joining Medical Assurance, he served as Executive Vice President and Chief Operating Officer with the P.I.E. Mutual Insurance Company (1990-1996), Vice President and Actuary of Medical Mutual Liability Insurance Society of Maryland (1983-1990) and Associate Actuary of Scor Reinsurance Company (1980-1983). Mr. Friedman is a graduate of The College of Insurance (NY), with a B.S. in Actuarial Science. He is an Associate of the Casualty Actuarial Society and a member of the American Academy of Actuaries.
Jeffrey Patton Lisenby
Corporate Secretary, Executive Vice-President and General Counsel
Jeffrey P. Lisenby, J.D., CPCU, is an Executive Vice President of ProAssurance Corporation and is our General Counsel and Corporate Secretary. Mr. Lisenby joined Medical Assurance, the predecessor to ProAssurance, in 2001 and has served as head of the corporate Legal Department since that time. Prior to joining Medical Assurance, he was in private practice in Birmingham, Alabama, from 1996 to 2001 and served as a judicial clerk for the United States District Court for the Northern District of Alabama from 1995 to 1996. Mr. Lisenby received his bachelor and law degrees from The University of Alabama. He is a member of the Alabama State Bar and the United States Supreme Court Bar and is a Chartered Property Casualty Underwriter.
Frank B. O'Neil
Senior Vice-President, Chief Communications Officer
FRANK B. O'NEIL, IRC, is the Senior Vice-President and Chief Communications Officer for ProAssurance. Mr. O'Neil was the Senior Vice-President of Corporate Communications for Medical Assurance, ProAssurance's predecessor company, and has been employed by Medical Assurance and its subsidiaries since 1987. Prior to joining Medical Assurance, Mr. O’Neil spent 14 years in television news broadcasting and management. He holds undergraduate and graduate degrees from the University of Alabama and a Masters in Public and Private Management from Birmingham-Southern College, and he has served both institutions as a adjunct faculty member. He is a member and former Chairman of the Alabama Insurance Planning Commission. Mr. O'Neil serves on the Board of Directors of National Security Corporation (NASDAQ: NSEC) and is Chairman of that company's Compensation Committee.
Edward Lewis Rand Jr.
EXECUTIVE VICE-PRESIDENT, CHIEF FINANCIAL OFFICER AND PRESIDENT OF MEDMARC INSURANCE GROUP
EDWARD L. RAND, JR., CPA, is an Executive Vice-President of ProAssurance Corporation and is also the Chief Financial Officer and Chief Accounting Officer. Prior to joining ProAssurance in November of 2004, Mr. Rand was Chief Accounting Officer and Head of Corporate Finance for PartnerRe Ltd. from 2000 - 2004. He also served as the Chief Financial Officer of Atlantic American Corporation from 1996 - 2000 and Controller of United Capitol Insurance Company from 1992 - 1996. Prior to this time Mr. Rand was employed by Coopers & Lybrand (now PriceWaterhouseCoopers) for four years. Mr. Rand is a certified public accountant and is a graduate of Davidson College where he majored in Economics.
Ross Edward Taubman
President and Chief Medical Officer, Podiatric Insurance Company of America (PICA)
Dr. Ross Taubman is the President and Chief Medical Officer of the Podiatric Insurance Company of America (PICA), a ProAssurance subsidiary and the largest insurer of Doctors of Podiatric Medicine in America. Prior to joining PICA, Dr. Taubman practiced podiatry for 26 years, primarily in Maryland, where he was active in organized podiatry, serving as Treasurer, Vice-President and President of the Maryland Podiatric Medical Association. Dr. Taubman has also been a leader in national podiatric medicine. He served as President of The American Podiatric Medical Association (APMA) from 2008 through 2009, and served in a number of executive leadership positions for the APMA. Dr. Taubman received his undergraduate degree in Biomedical Engineering from Tulane University in New Orleans in 1979 and graduated from the California College of Podiatric Medicine (CCPM) in 1983. He completed two years of residency training at CCPM and the Kaiser Foundation Hospital in Vallejo, California focusing on both podiatric medicine and surgery. He is a diplomate in the American Board of Podiatric Surgery.

Robert E. Flowers
Lead Director
ROBERT E. FLOWERS has served as a director of ProAssurance since completion of the consolidation on June 27, 2001. Prior to that date, Dr. Flowers served as a director of Medical Assurance, Inc. (since 1995) and as a director of The Medical Assurance Company, Inc. (since 1985). Dr. Flowers practiced as a physician with Gynecology Associates of Dothan P.C., Dothan, Alabama, prior to his retirement in 2001.
Bruce D. Angiolillo
Mr. Angiolillo is a retired partner of Simpson Thacher & Bartlett LLP, New York, New York. He is a nationally-recognized authority on corporate securities and governance as a result of his practice concentration in securities law and complex commercial litigation before his retirement on December 31, 2014. Following his retirement at Simpson Thacher, Mr. Angiolillo was employed from January 1, 2015 until June 30, 2015, as general counsel for TK Holdings, Inc.
Samuel A. Di Piazza Jr.
Samuel A. Di Piazza was elected to the ProAssurance Board of Directors on January 21, 2014. He is the Chairman of our Audit Committee, having served in various executive leadership roles in banking and accounting. Mr. Di Piazza is currently the Chairman of the Board of Trustees of the Mayo Clinic and serves on the Board of Directors for AT&T, Inc. and Jones Lang LaSalle Incorporated. In February of 2014 he resigned as Vice-Chairman in the Institutional Clients Group of Citi, after serving in that capacity since 2011. Prior to joining Citi, he served as the Global Chief Executive Officer of PricewaterhouseCoopers International Limited (PwC) from 2002 to 2009. His 36-year career at PwC included 30 years as a partner, during which he served as Chairman and Senior Partner at PwC U.S. and was a member of the firm’s Global Leadership Team. He is a frequent commentator on issues of corporate reporting, transparency and sustainable development, and is the co-author, with Harvard Professor Robert Eccles, of Building Public Trust: The Future of Corporate Reporting.
M. James Gorrie
M. James Gorrie is the President and Chief Executive Officer of Brasfield & Gorrie in Birmingham, Alabama, a construction firm with recent annual revenues in excess of $2 billion. He holds a B.S. in Building Science from Auburn University and serves as a Director of First Commercial Bank, a division of Synovus Bank, one of the largest community banks in the Southeast.
Ziad R. Haydar
Dr. Haydar is the Chief Clinical Officer of Ascension Health in St. Louis Missouri. Ascension Health is the largest not-for-profit and largest Catholic health system in the United States. Dr. Haydar began his tenure at Ascension Health in 2010 as its Vice President Clinical Excellence and Physician Integration until he was promoted to his current position in 2011. Prior to 2010, Dr. Haydar was an executive with Baylor Health Care System in Dallas Texas. Dr. Haydar received his M.D. degree from American University in Beirut, trained in Family Medicine at the Medical University of South Carolina, and completed a fellowship in Geriatrics and Gerontology at Johns Hopkins University School of Medicine.
John J. McMahon Jr.
JOHN J. MCMAHON, JR. has served as a director of ProAssurance since February 27, 2002. Since 1999, Mr. McMahon has served as Chairman of Ligon Industries (manufacturer of wastewater treatment equipment and aluminum castings) and as Chairman of the Executive Committee of McWane, Inc. (pipe and valve manufacturing company) in Birmingham, Alabama. Prior to that time, Mr. McMahon served as Chairman of the Board of McWane, Inc. Mr. McMahon also serves as a director of Protective Life Corporation.
Frank A. Spinosa
Frank A. Spinosa, D.P.M. is a board-certified podiatrist practicing in New Mexico. He was a founding partner of Shelter Island Podiatry Associates in New York prior to moving to New Mexico. Dr. Spinosa is a past President of the American Podiatric Medical Association and the New York State Podiatric Medical Association. He has taught as an Associate Professor of Radiology at the New York College of Podiatric Medicine, has authored numerous scientific papers and textbook chapters and has lectured nationally.
Katisha T. Vance
Dr. Vance is a board-certified oncologist /hematologist practicing in Birmingham, Alabama. She is also active in organized medicine and currently serves as the President of the Jefferson County Medical Society in Birmingham, Alabama. Dr. Vance received her M.D. degree from the University of Alabama School of Medicine in Birmingham, Alabama, trained in internal medicine at Baptist Health System in Birmingham, Alabama, and completed a fellowship in medical oncology and hematology at the University of Alabama at Birmingham.
Thomas A.S. Wilson Jr.
Thomas A.S. Wilson, Jr., M.D. is a board-certified neurosurgeon with Neurosurgical Associates, P.C., in Birmingham, Alabama. He holds a B.S. in natural science and mathematics from Washington & Lee University and M.D. from Vanderbilt University. He completed an internship in general surgery and a residency in neurosurgery at Bowman Gray School of Medicine, Wake Forest University. He is the author of numerous publications and presentations.
